Mergers and Acquisitions

Our professionals are experienced in M&A proceedings, in all of their phases. We act mainly focusing on the safety of the operations, dully analyzing the documents involved and legally achieving the parties’ objectives.

On M&A operations our acting starts from the preparatory proceedings, passing through the implementation of the operation and covering also the subsequent legal issues related to all of the corporate operations according to Brazilian law (mergers, acquisitions and takeovers). We perform all procedures of data survey of the companies involved in the operation; due diligence; negotiation of the terms of the deal and the study of the best form of implementing the parties’ intentions.

We elaborate, moreover, all of the documents of the operation, such as agreements of purchase and sale of shares or quotas, shareholders or quotaholders agreements and justifying protocols when needed. We also perform the registering of the operation and the communication to the relevant authorities, such as the Brazilian Administrative Council for Economic Defense (CADE) and the regulatory agencies.
